PROMOTION PERIOD AND HOW TO ENTER
‍The ACV Auctions Inc. Year End Drive Sweepstakes (the “Promotion”) will begin on December 1, 2022, at 12:00 am Eastern Time and will conclude on December 31, 2022, at 11:59 pm Eastern Time (the “Entry Period”).  During the Entry Period, ACV Dealers (defined below) which activate the Promotion on their account (“Activated Dealers”) will be automatically entered into the Promotion.  Activated Dealers will receive one additional entry for each vehicle purchased or sold by their dealership December 1, 2022, through December 31, 2022.  There is no maximum entry amount. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE PROMOTION.  

‍FREE TO ENTER.
ACV Dealers may enter the Promotion without purchase or payment by activating the Promotion on their account.  ACV Dealers that activate the Promotion on their account before the conclusion of the Entry Period will be treated with equal dignity to all other entries. ACV Dealers may activate the Promotion on their accounts in various ways, including by contacting their ACV account manager, entering their ACV login email address in the “Enter your Email Address” field above, or by clicking a link in a promotional email sent to their ACV account email address.

‍ELIGIBILITY
‍The Promotion is open only to (a) licensed automobile dealerships (b) incorporated or otherwise organized as a legal entity in the United States, (c) which have completed ACV Auctions Inc.’s online registration process, including the submission of a valid dealership license and resale certificate to ACV Auctions Inc., and (d) are in good standing as determined by ACV Auctions Inc. (any entity meeting such criteria, an “ACV Dealer”) prior to the conclusion of the Entry Period.  Only the company or business entity (such as a corporation, limited liability company, and sole proprietorship) which is an approved automobile dealership shall be deemed an ACV Dealer.  Individual employees of an ACV Dealer shall not individually be deemed eligible ACV Dealers.  ACV Dealers must be fully able and competent to enter into, abide by, and comply with these official rules (the “Official Rules”).  This Promotion is subject to all applicable federal, state, and local laws and regulations and is VOID WHERE PROHIBITED.  The Promotion is open only in the United States. 

‍AGREEMENT TO OFFICIAL RULES
‍Participation in the Promotion constitutes an entrant’s full and unconditional agreement that the entrant has read and consents to be bound by these Official Rules and ACV Auctions Inc.’s (“ACV” or the “Sponsor”) decisions, which are final and binding in all matters related to any Promotion.  Winning any Prize (defined below) is contingent upon fulfilling all requirements set forth in these Official Rules. 

WINNING AND WINNER NOTIFICATION
‍One (1) winner will be selected among all eligible entries.  A random drawing will be conducted on or about January 2, 2021, by the Sponsor from among all eligible entries received. Odds of winning depend on the number of entries received.  Potential winners will be notified by close of business January 3, 2023, by email or phone and must sign and return any required Affidavit of Eligibility and Release within two (2) calendar days of the date notice is sent or such other date set by the Sponsor.  Winner must accept the Prize within 48 hours of being contacted.  If the winner does not accept within 48 hours of notification, the winner will be redrawn. The return of any Prize notification as undeliverable may result in disqualification and an alternate winner may be selected.  All income taxes resulting from acceptance of the Prize are the responsibility of the winner.  By entering this Promotion, the entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters.  Acceptance of a Prize also constitutes permission to the Sponsor to use the winner's name and company information for marketing purposes without further compensation or right of approval, unless prohibited by law.  All federal and state laws apply.  The Sponsor may share the name and contact information of any winner or potential winner as required by any federal, state or local law.  Decisions of the Sponsor are final and binding with respect to all matters related to the Promotion. 

‍PRIZE
‍The winner will receive a Super Bowl ticket package for two (2) individuals including tickets, airfare, lodging and a rental car (the “Prize”).  Prize will be presented in the form of a voucher code for the package with Odenza Vacations.  No substitutions are allowed.  The winner may choose to not accept the Prize.  In that event, a winner will be redrawn until such a time that a winner is chosen who will accept the Prize.  The winning ACV Dealer is responsible for choosing the individual(s) who will receive the package and will be responsible for any tax paperwork relating to the prize’s value. Prior to awarding any Prize, the Sponsor may conduct checks for compliance with these Official Rules, eligibility and identity verification, evidence of fraud or other prohibited conduct (as determined by the Sponsor in its sole discretion).  Prize(s) will be awarded only if the potential winners fully comply with these Official Rules.  Here, where a single entrant accumulates prizes with an Actual Retail Value (“ARV”) of six hundred dollars ($600) or more in a single calendar year, the Sponsor will furnish an Internal Revenue Service Form 1099 to such entrant for the ARV of Prize(s) for the year in which Prize(s) was won. Prizes will be distributed to winners via electronic mail. The Sponsor may also request additional information, including without limitation, an Affidavit of Eligibility and Release, before a Prize distribution may be processed. The Prize may be distributed in an alternative manner at Sponsor’s sole discretion. All Prize details will be determined by the Sponsor in its sole discretion and are subject to change. The Sponsor reserves the right to substitute the Prize (or portions thereof) with a similar prize (or prize element) of comparable or greater value.  All taxes and other expenses, costs, or fees associated with the acceptance and/or use of the Prize are the sole responsibility of the winner.  The Prize cannot be transferred by winners prior to distribution from the Sponsor and is valid only for the items awarded, with no substitution of the Prize by winners. The Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of the Prize, and are not responsible or liable for any expenses incurred as a consequence thereof.  The Prize will be awarded “as is” with no warranty or guarantee, either express or implied by the Sponsor. ‍The Sponsor’s computer shall be the official timekeeper for all matters related to the Promotion. Entries that are incomplete, garbled, corrupted, suspect, fraudulent, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. “Proof of submission” (such as an automated receipt, screen shots, electronic mail, etc.) shall not constitute proof of actual receipt of entry for purposes of these Official Rules. In case of a dispute over the identity of an entrant, the applicable ACV Dealer registered on the ACV’s application or website will be deemed to be the entrant. DATA RATES MAY APPLY TO AN ENTRY SUBMITTED VIA YOUR MOBILE DEVICE.  SEE YOUR WIRELESS SERVICE PROVIDER FOR DETAILS ON RATES AND CAPABILITIES. SPONSOR SHALL HAVE NO RESPONSIBILITY FOR SERVICE DISRUPTION. 

‍NO AFFILIATION 
‍This Promotion is in no way sponsored, endorsed or administered by, or associated with, YouTube, Twitter, Facebook or Instagram.  Any questions, comments or complaints regarding the Promotion should be directed to Sponsor, and not to any of YouTube, Twitter, Facebook or Instagram. 

CONDITIONS AND RELEASE
‍By entering the Promotion, each entrant agrees for entrant and for entrant’s successors, assigns, directors, officers, owners, members, managers, employees and contractors: (a) to release and hold harmless the Sponsor and its officers, directors, shareholders, members, managers, employees, advertising, promotion and fulfillment agencies, administrators, insurers, parents, subsidiaries, divisions, affiliates, predecessors, successors, representatives, and legal advisors, as well as YouTube, Twitter, Facebook, Instagram or any other social medium (collectively, “Released Parties”), and all others associated with the development, execution and/or administration of ACV’s applications or websites, the Promotion and/or Prize from any liability, illness, injury, death, loss, litigation, or damage (“Losses”) that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in the Promotion and/or its acceptance, use, or misuse of Prize; (b) to indemnify Released Parties from any and all Losses resulting or arising from the Promotion, and/or Prize and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Promotion and/or Prize; and (c) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or on ACV’s applications or websites, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from any Promotion or forfeiture of Prize at the Sponsor’s sole discretion.  Without limiting the foregoing or any provision herein, the Released Parties shall not have any liability for any and all Losses in excess of total out-of-pocket expenses incurred by an entrant to enter the Promotion. In no event shall the Released Parties be liable for any attorneys’ fees, punitive, indirect, incidental, special and/or consequential damages. ‍The Sponsor reserves the right to permanently disqualify from the Promotion any party it believes has intentionally violated these Official Rules. Any attempt to deliberately damage  ACV’s applications or websites  or the operation of the Promotion is unlawful and subject to legal action by the Sponsor, which may seek damages to the fullest extent permitted by law. The failure of the Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, epidemic or pandemic, actions of governmental authorities outside of the control of the Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules.  Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Promotion or ACV’s applications or websites. The Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. The Sponsor may prohibit any entrant or potential entrant from participating in any Promotion, void any entries submitted by such entrant or potential entrant or disqualify such entrant or potential entrant from any Promotion if such entrant or potential entrant engages in any conduct the Sponsor, in its sole discretion, determines to be improper, unfair, fraudulent or otherwise adverse to the operation of the ACV’s applications or websites or in any way detrimental to other entrants or potential entrants (“Improper Conduct”). If any entrant or potential entrant engages in any Improper Conduct (as determined by the Sponsor in its sole discretion), Prize to such entrant may be delayed, withheld and/or forfeited, and the Sponsor may require the return of the Prize that has been awarded.  Improper Conduct includes, without limitation: violating or showing a disregard for these Official Rules; acting with an intent to annoy, abuse, threaten, or harass any other entrant, the Sponsor, or the Sponsor’s agents or representatives; tampering or attempting to tamper in any way with ACV’s applications or websites (or any associated computers, programs or networks), any Promotion’s entry process or the operation and/or results of any Promotion; falsifying personal information; violating eligibility requirements; or behaving in any other disruptive manner (as determined by the Sponsor in its sole discretion). The Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Promotion.  If, in the Sponsor’s reasonable opinion, there is an error or suspected evidence of tampering with any portion of the Promotion, or if technical difficulties (including viruses and bugs) compromise the integrity of the Promotion, the Sponsor reserves the right to cancel or modify this Promotion in a manner deemed appropriate by the Sponsor.  In the event of cancellation, winners will be selected from all eligible entries received as of the date of termination. 

‍DISPUTES
OFFICIAL RULES AND ANY PROMOTIONS ARE GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, WITHOUT GIVING EFFECT TO ANY OF ITS CONFLICT OF LAWS PROVISIONS THEREOF, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN ERIE COUNTY, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, ENTRANT FURTHER AGREES THAT ANY LEGAL SUIT, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THIS PROMOTION AND THESE OFFICIAL RULES SHALL BE BROUGHT EXCLUSIVELY IN THE APPLICABLE FEDERAL OR STATE COURTS LOCATED IN ERIE COUNTY, NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY ENTRANT BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. 

‍PRIVACY
‍Information provided by entrants in relation to any Promotion is subject to the Sponsor’s privacy policy located at https://www.acvauctions.com/legal/privacy-policy. Entrants understand that personal information shared in connection with the Promotion may be processed, shared or otherwise used for purposes of administering the Promotion and within the context of the Promotion and the applicable privacy policy. Entrants also understand that personal information may be used by Sponsor to verify your identity, address, telephone number and email or to otherwise verify your eligibility to participate in any Promotion. Each entrant acknowledges that Sponsor may be required to disclose a winner’s information to regulatory authorities and agents and entrants agree to such disclosure.

‍For the names of winners, available after seven (7) days after the conclusion of the Promotion, send an email to marketing@acvauctions.com to be received within sixty (60) days of the conclusion of such Promotion to the attention of ACV Auctions Inc..

If any term or provision of these Official Rules is invalid, illegal, or unenforceable in any jurisdiction, such invalidity illegality, or unenforceability shall not affect any other term or provision of these Official Rules or invalidate or render unenforceable such term or provision in any other jurisdiction. If any term of these Official Rules is held to be excessively broad or invalid, illegal, or unenforceable in any jurisdiction, it shall be reformed and construed by limiting and reducing it so as to be enforceable to the maximum extent permitted by applicable law in conformance with its original intent.
